Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you (the "User", "Customer", "you") and ReliaIT, a sole-proprietorship / firm having its principal place of business at Main Road, Rajahmundry, East Godavari District, Andhra Pradesh 533101, India ("ReliaIT", "we", "us"), governing your access to and use of the website reliaitinfo.in (the "Website") and any quotation, order or supply of goods and services resulting from it. These Terms incorporate by reference the Privacy Policy, the Disclaimer, the Refund & Return Policy and the Cookie Policy. By accessing the Website, you agree to be bound by these Terms. If you do not agree, do not use the Website.

1. Business-to-business nature

The Website and the goods and services advertised on it are intended exclusively for business, institutional, governmental, educational and professional buyers (offices, banks, schools, colleges, government departments, public sector undertakings, corporates, shops and SMEs). ReliaIT does not offer, and does not intend to offer, goods or services to individual "consumers" purchasing exclusively for personal, family or household use, and nothing on the Website shall be construed as an invitation to treat with any such consumer. By using the Website or placing an order, you warrant that you are purchasing in the course of a business and that your purchase is not a "consumer transaction" within the meaning of section 2(7) of the Consumer Protection Act, 2019.

2. Eligibility

You represent that you are at least 18 years of age, are legally capable of entering into binding contracts under the Indian Contract Act, 1872, and are duly authorised to contract on behalf of the organisation you represent.

3. Orders, quotations and formation of contract

Product listings, cart items, price tags, "add to cart" buttons, "enquire now" links, WhatsApp pre-filled messages, and any figures appearing on the Website are an invitation to treat only and not an offer capable of acceptance. A binding contract is formed only when ReliaIT issues a written quotation or a GST tax invoice accepted by you. ReliaIT reserves the absolute right to accept, decline or modify any enquiry or order at its sole discretion, including after initial acknowledgement, without being required to give reasons. Stock levels and delivery timelines are indicative only.

4. Pricing, GST, payment and credit

All prices on the Website are indicative, may or may not include GST, and are subject to change without notice until a GST tax invoice has been issued. The final invoiced price shall be the price prevailing on the date of invoicing and shall apply the applicable HSN code and GST rate. Payments must be made in Indian Rupees by the mode (cash, UPI, bank transfer, cheque, or approved credit) specified on the invoice. Credit terms, if any, are extended at ReliaIT's sole discretion subject to KYC, and interest at the rate of 24% per annum (or the maximum permitted by law, whichever is lower) shall accrue on any overdue amount from the due date until payment in full. Cheque-bounce and bank return charges shall be borne by you.

5. Delivery and title

Delivery timelines quoted on the Website, in quotations or on invoices are best estimates only and time is not of the essence. Risk in the goods passes to you on handover to the courier or to a representative at your site. Title passes only on receipt of full payment in cleared funds. ReliaIT shall not be liable for delay or non-delivery caused by force majeure events, OEM supply shortages, transport strikes, floods or cyclones, communal unrest, lockdowns, governmental action, or any other event beyond its reasonable control.

6. Warranty pass-through

Goods supplied by ReliaIT carry only the standard manufacturer / OEM warranty applicable to the specific product, model and batch. ReliaIT does not provide any additional express warranty and, to the maximum extent permitted by law, disclaims all implied warranties (including merchantability and fitness for purpose). Warranty claims must be raised directly with the OEM through ReliaIT's facilitation as per our Refund & Return Policy.

7. Marketing content and website figures

You specifically acknowledge that all statistics, counters, visitor tickers, "products sold today", "recently added", "most ordered", "bestseller", "trending", "live activity", testimonials, stock indicators and similar figures on the Website are illustrative marketing content and are governed in full by clause 2 of the Disclaimer, which is incorporated into these Terms by reference. You waive any and all claims arising out of or in connection with reliance on such content.

8. Intellectual property

All content on the Website (text, layouts, designs, logos, graphics, code, icons, blog articles, glossary entries, product descriptions and data) is the property of ReliaIT or its licensors and is protected by Indian and international copyright and trademark laws. You may view and print content for your own internal business record only. Any scraping, bulk downloading, re-publication, commercial exploitation, derivative work, training of machine-learning models, or creation of competing directories is strictly prohibited without ReliaIT's prior written consent.

9. Acceptable use

You agree not to: (a) use the Website for any unlawful purpose; (b) attempt to gain unauthorised access to any portion of the Website, its servers or any connected system; (c) transmit any worm, virus, trojan, malware, scraper, bot or other harmful code; (d) submit false, misleading or impersonating information; (e) use the Website in any manner that could disable, overburden, or impair it; or (f) use any automated means to access or collect data from the Website without ReliaIT's prior written consent.

10. Limitation of liability

To the maximum extent permitted under applicable law, ReliaIT's aggregate liability to you arising out of or in connection with these Terms, the Website or any order — whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise — shall be limited to the invoice value of the specific GST tax invoice from which the claim arises. In no event shall ReliaIT be liable for indirect, incidental, consequential, special, punitive or exemplary damages, loss of data, loss of profit, loss of business, loss of goodwill, or business interruption, even if foreseeable or advised of the possibility.

11. Indemnity

You agree to indemnify, defend and hold harmless ReliaIT, its proprietor, partners, employees, contractors and affiliates against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of (i) your breach of these Terms, (ii) your misuse of the Website, (iii) your infringement of any third-party right, or (iv) any claim by an end-user or third party based on your onward use or resale of goods supplied by ReliaIT.

12. Termination

ReliaIT may suspend or terminate your access to the Website at any time, with or without cause, without notice. Clauses which by their nature should survive termination (including IP, limitation of liability, indemnity, governing law) shall survive.

13. Force majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, floods, cyclones, earthquakes, pandemic, epidemics, governmental action, lockdowns, internet or power outages, OEM shortages, strikes or civil unrest.

14. Governing law, jurisdiction and dispute resolution

These Terms are governed by the laws of India. Before initiating any legal proceedings, the parties shall attempt to resolve any dispute in good faith within thirty (30) days of written notice sent by email to info@reliait.net with a copy by registered post. If the dispute is not resolved within that period, either party may refer the dispute to a sole arbitrator appointed by mutual agreement, or failing agreement by the Andhra Pradesh High Court, under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Rajahmundry, the language shall be English, and the arbitrator's decision shall be final and binding. Subject to the foregoing arbitration clause, the courts at Rajahmundry, East Godavari District, Andhra Pradesh shall have exclusive jurisdiction over any matter arising out of these Terms.

15. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full effect. No waiver of any breach shall constitute a waiver of any subsequent breach. You may not assign these Terms without ReliaIT's prior written consent; ReliaIT may assign these Terms in whole or in part. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and ReliaIT concerning the Website and supersede all prior agreements.
